1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement between the user (the “Client”) and TableTalk.ai. By accessing or using the service, you acknowledge that you have read, understood, and agreed to be bound by these terms.

2. Authorized Use

Clients agree to use the platform solely for lawful purposes and within the scope of their business operations. Unauthorized use, distribution, or replication of the service or its content is strictly prohibited.

3. Client Responsibilities

• Maintain confidentiality of credentials and secure API access
• Ensure third-party data is shared with proper authorization
• Promptly notify TableTalk.ai of any security incidents or suspected misuse

4. Service Access and Availability

TableTalk.ai endeavors to maintain continuous access to services with a target uptime of 99.9%. However, the platform may be subject to planned or emergency downtime. No service-level guarantees are implied unless expressly agreed in writing.

5. Fees, Billing & Taxes

Clients agree to pay all fees as outlined in their service agreement. Invoices are payable upon receipt unless otherwise stated. Clients are responsible for applicable taxes unless a valid exemption certificate is provided.

6. Proprietary Rights

All intellectual property rights in the TableTalk.ai platform, including but not limited to source code, prompts, models, and documentation, remain the exclusive property of TableTalk.ai or its licensors.

7. Confidentiality

Both parties agree to maintain in strict confidence all confidential or proprietary information exchanged during the course of business, and not to disclose such information to any third party without prior written consent.

8. Termination and Suspension

TableTalk.ai reserves the right to suspend or terminate access to the platform for violations of these terms or legal obligations. Clients may terminate their account in accordance with their service agreement, subject to notice and settlement of outstanding balances.

9. Indemnification

Clients agree to indemnify and hold harmless TableTalk.ai and its affiliates against any claims, damages, or liabilities arising from their use of the service in violation of these terms.

10. Limitation of Liability

To the extent permitted by law, TableTalk.ai shall not be liable for indirect, incidental, or consequential damages. Liability is limited to the amount paid for services in the preceding 12-month period.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of [Insert Applicable Jurisdiction]. Disputes shall be resolved through arbitration or competent courts located in that jurisdiction.

12. Amendments

TableTalk.ai reserves the right to modify these Terms & Conditions at any time. Clients will be notified of material changes. Continued use of the service constitutes acceptance of the updated terms.
